Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Maxpilot platform and services ("Service") provided by Maxpilot Pty Ltd ABN 00 000 000 000 ("Maxpilot", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of your organisation, and agree to comply with these Terms and all applicable laws and regulations.

2. Description of Service

Maxpilot provides cloud-based software for NDIS providers, support coordinators, aged care organisations, and allied health practices. The Service includes participant management, scheduling, invoicing, compliance tools, and reporting features.

3. Account Registration

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Subscription and Payment

Access to the Service is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis. All fees are in Australian dollars (AUD) and are exclusive of GST unless otherwise stated. Payment is processed securely via our payment provider.

We reserve the right to change subscription fees upon 30 days' written notice. Continued use of the Service after such notice constitutes your acceptance of the new fees.

5. Free Trial

We may offer a free trial period. At the end of the free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period expires. No credit card is required to start a free trial.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including the NDIS Act 2013 and Privacy Act 1988
  • Upload or transmit harmful, offensive, or unlawful content
  • Attempt to gain unauthorised access to any part of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to build a competing product or service
  • Transmit malware, viruses, or other malicious code

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process personal information in accordance with the Australian Privacy Act 1988 and Australian Privacy Principles.

All data is stored on Australian servers. We do not sell your data to third parties.

8. Intellectual Property

The Service and all associated intellectual property rights are owned by Maxpilot Pty Ltd. These Terms do not transfer any ownership of intellectual property to you. You retain ownership of all data you upload to the Service.

9. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law.

10. Warranties and Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. We are not responsible for any decisions made based on information provided by the Service.

11. Limitation of Liability

To the maximum extent permitted by law, Maxpilot's total liability to you for any claim arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages.

12. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will cease. We will retain your data for 30 days after termination, after which it may be permanently deleted. You may export your data at any time while your account is active.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
